Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Greenfield Realty, LLC, a Delaware limited liability company (“Greenfield Realty,” “we,” “us,” or “our”) governing your use of www.greenfieldus.com (the “Site”) and the services we offer through it, including browsing land, contacting us, reserving land, and paying through our payment links (together, the “Services”).

By using the Site or Services you agree to these Terms, our Privacy Policy, our Deposit & Refund Policy, and our Disclaimer, each of which is incorporated into these Terms. If you do not agree, please do not use the Site.

1. Who We Are and What We Do

Greenfield Realty sells vacant land that it owns (in some cases together with a co-owner named in the purchase documents) directly to buyers, and offers owner financing on most properties. We are the seller in every transaction on this Site. We are not acting as a real estate broker or agent for you or for anyone else, we do not provide brokerage services, and no agency relationship is created by your use of the Site.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to reserve or purchase land through the Site. By reserving or purchasing, you represent that you meet these requirements and that the information you provide is accurate.

3. Reserving and Buying Land

• Listings are invitations, not offers. Prices, down payments, monthly payments, fees, terms, availability, and property details shown on the Site are subject to change without notice and may contain errors (see our Disclaimer). A listing is an invitation for you to reserve, not a binding offer to sell.
• Reserving is not buying. Paying a down payment through our payment page reserves the property and starts the purchase process; it does not by itself transfer any interest in the land. A purchase happens only when both you and the seller have signed the purchase documents (Purchase and Sale Agreement, Land Sale Contract, and Promissory Note) and you have activated your payment plan as those documents require.
• Your purchase documents control. Once signed, your purchase documents are the complete agreement for that property. If anything on the Site or in these Terms conflicts with your signed purchase documents, the purchase documents control for that transaction — except that the refund-or-exchange commitment in our Deposit & Refund Policy applies even where your purchase documents provide for less.
• Financing. Owner financing is offered at the seller’s discretion on the terms stated in your purchase documents. Our standard financing is interest-free (0% interest): the financed price is divided into equal monthly payments with no interest, plus any note-servicing fee and estimated taxes stated on the listing (the note-servicing fee, where charged, is a cost of financing that cash buyers do not pay). Where a listing also shows a cash price, that price reflects a discount for paying in full up front. In the rare case that a specific transaction carries an interest rate, that rate and the resulting payment terms will be stated in your purchase documents before you sign. Advertised monthly payments assume the standard term and down payment shown on the listing and are estimates until your documents are signed. We may decline any reservation or purchase before the documents are signed, in which case any payment you have made will be refunded in full as described in our Deposit & Refund Policy.
• Deposits, fees, and refunds are governed by our Deposit & Refund Policy, including the non-refundable nature of down payments and document fees, the cases in which we refund in full, and our 90-Day Satisfaction Guarantee.
• Payments are processed by third-party processors (currently MoonClerk and Stripe) under their own terms. You authorize the charges you initiate and agree to keep your payment information current.

4. Not Legal, Tax, or Investment Advice

Nothing on the Site — including listing descriptions, financing examples, area information, and statements about potential uses, growth, or value — is legal, tax, financial, survey, or investment advice, and none of it is a guarantee about a property, its permitted uses, its future value, or its suitability for any purpose. You are responsible for your own due diligence and are encouraged to consult the county, licensed professionals, and public records before you buy. Our purchase documents also advise you to consult legal and tax counsel.

5. Reviews and Other Content You Submit

If you submit a review, testimonial, photo, message, or other content ("Submission"), you represent that it is truthful, reflects your genuine experience, and does not violate anyone's rights. You grant Greenfield Realty a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, edit for length or clarity, display, and distribute your Submission (with the name and location you provide) on the Site and in our marketing, and you waive any right to compensation. We may choose not to publish a Submission, and may remove any Submission at any time, in our discretion — for example if it is off-topic, abusive, or appears not to come from a genuine buyer. We do not pay for reviews.

6. Text Messages and Electronic Communications

When you provide contact information you agree that we may contact you by email, phone, and text message about your inquiry, your reservation, or your account (for texts: if you text us, reply to us, or give us your mobile number in connection with that inquiry, reservation, or purchase) — and, only if you have opted in, by recurring marketing text message about our land. Text messaging terms (including how to opt out) are in our Privacy Policy. You also consent to receive notices, agreements, and disclosures from us electronically and to sign your purchase documents electronically; electronic signatures have the same effect as handwritten ones under the federal E-SIGN Act.

7. Acceptable Use

You agree not to:

• use the Site for any unlawful purpose or in violation of these Terms;
• submit false, misleading, or fraudulent information, reviews, or payments;
• scrape, copy, or republish listings, photos, or other Site content, or use automated tools to access the Site, without our written permission;
• interfere with the Site's operation or security, or attempt to access accounts, systems, or data you are not authorized to access;
• reserve properties with no intention of purchasing, or otherwise abuse the reservation process.

8. Our Content and Trademarks

The Site and everything on it — text, photographs, videos, maps, graphics, logos, and the Greenfield Realty name and tagline — are owned by or licensed to Greenfield Realty and protected by copyright, trademark, and other laws. You may view and print pages for your personal, non-commercial use in considering a purchase. Any other use requires our prior written consent. Map data and imagery are provided by third parties under their own licenses.

9. Third-Party Services and Links

The Site links to and relies on third-party services such as our payment processor, electronic-signature provider, map and satellite-imagery providers, and social media. Those services are governed by their own terms and privacy policies. We are not responsible for third-party services, and a link does not mean we endorse the linked site.

10. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WITHOUT ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT INFORMATION ON IT IS ACCURATE, COMPLETE, OR CURRENT. Warranties, if any, concerning a specific property are only those expressly stated in your signed purchase documents.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GREENFIELD REALTY AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND CO-SELLERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS YOU HAVE PAID US THROUGH THE SITE IN THE TWELVE MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in this section limits the remedies expressly provided in your signed purchase documents or in our Deposit & Refund Policy.

12. Indemnification

You agree to indemnify and hold harmless Greenfield Realty and its members, managers, employees, agents, and co-sellers from any claims, losses, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your Submissions, or your misuse of the Site.

13. Fair Housing

We are committed to equal opportunity in land sales and comply with the federal Fair Housing Act and applicable state and local fair-housing laws. See our Fair Housing Statement.

14. Governing Law and Disputes

These Terms and any dispute relating to the Site are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and any such dispute will be brought exclusively in the state or federal courts located in Delaware, whose jurisdiction you consent to. This section applies to disputes about the Site and these Terms; disputes about a specific property purchase are governed by the governing-law and venue provisions of your signed purchase documents (which typically apply the law of the state where the property is located). Before filing any claim, you agree to contact us and give us 30 days to try to resolve the matter informally.

15. Changes, Severability, and Entire Agreement

We may update these Terms at any time by posting a revised version with a new "Last updated" date; changes apply going forward from posting. If any provision of these Terms is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the policies they incorporate, are the entire agreement between you and us regarding the Site — but they do not modify or replace any signed purchase documents, which govern their own subject matter.
